The role of Company Secretary is essentially an administrative one, but can involve a number of important responsibilities, depending on the wishes of the company’s directors.
It is no longer a legal requirement for private companies to employ a separate company secretary, in practice many still choose to do so or appoint an Accountant to carry out the work required. As these administrative, communication, corporate governance and statutory compliance roles must still be done and in the absence of a company secretary the responsibly falls to the Directors.
For public companies the requirements are different and section 271 of the CA 2006 states that a “public company must have a secretary”.
